Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of InvoiceChaser AI ("Service", "we", "us", "our"). By registering an account, starting a free trial, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

InvoiceChaser AI is a software-as-a-service (SaaS) platform that uses artificial intelligence to:

• Send automated invoice payment reminders from your connected email account
• Read and classify client replies to those reminders
• Generate AI-drafted response emails for your review or automatic sending
• Maintain an audit log of all messages sent and received

The Service sends emails from your own email address. You are responsible for all communications sent through the Service.

3. Free Trial and Subscriptions

3.1 Free Trial

We offer a 3-day free trial for all paid plans. During the trial period, you have full access to all features of your selected plan. No charge is made until the trial ends.

A valid PayPal account is required to start a trial. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged.

3.2 Subscription Plans

• Starter — $19.99/month (or $17.99/month billed annually) — 10 invoices/month
• Pro — $69.99/month (or $59.99/month billed annually) — 50 invoices/month
• Agency — $129/month (or $109/month billed annually) — 120 invoices/month

3.3 Billing

• Subscriptions are billed monthly or annually in advance via PayPal
• Prices are in USD. Local taxes may apply
• Annual subscriptions are billed as a single payment for 12 months
• We reserve the right to change pricing with 30 days notice to existing subscribers

3.4 Cancellation and Refunds

• You may cancel your subscription at any time from your account dashboard
• Cancellation takes effect at the end of the current billing period
• No refunds are issued for partial months on monthly plans
• Annual plans: if you cancel within 14 days of annual renewal and have not exceeded 10% of your invoice allocation, a pro-rated refund may be issued at our discretion
• If we are unable to charge your payment method, your account will be suspended after a 7-day grace period

4. Acceptable Use

You agree to use InvoiceChaser AI only for legitimate business invoice follow-up purposes. You must not use the Service to:

• Send spam, unsolicited email, or harass recipients
• Contact individuals who have not had a prior business relationship with you
• Send threatening, abusive, defamatory, or unlawful content
• Violate any applicable email laws (CAN-SPAM, GDPR, CASL, etc.)
• Impersonate another person or entity
• Use the Service for debt collection beyond your own unpaid invoices
• Reverse-engineer, copy, or resell the Service
• Exceed the invoice limits of your plan by any means

Violation of these rules may result in immediate account suspension or termination without refund.

5. Your Responsibilities

• You are responsible for all content sent through the Service from your email account
• You are responsible for ensuring you have a legal right to contact the email addresses you enter
• You must keep your account credentials secure and notify us immediately of any unauthorised access
• You are responsible for obtaining any necessary consents from your clients under applicable law
• You must ensure your payment link (if added) is valid, secure, and belongs to you

6. AI-Generated Content & Email Authorisation

The Service uses AI to draft and, in Auto Mode, send emails. You acknowledge and agree that:

• AI-generated drafts may occasionally contain errors, incorrect tone, or unintended phrasing
• We strongly recommend using Review Mode to check every draft before it sends
• If you choose Auto Mode, emails are sent automatically without your prior review — you accept full responsibility for all content sent in Auto Mode
• You are solely responsible for all emails sent from your account through the Service, whether you reviewed them or not
• InvoiceChaser AI is not responsible for any business relationship damage, financial loss, client complaints, or legal consequences arising from emails sent through the Service — whether AI-drafted, AI-sent, or manually approved by you
• We are not liable for AI tone, language, or content that does not meet your expectations
• The AI does not have legal authority to negotiate, agree to payment terms, or make any binding commitments on your behalf. Any such language in an AI draft is not legally binding on either party

7. Payment Links

The payment link included in invoice reminder emails is provided by you (the customer) and is your own PayPal, Stripe, bank transfer, or other payment link. InvoiceChaser AI:

• Does not process, handle, or take any commission from client payments
• Does not store payment link credentials
• Is not responsible for payment failures, disputes, or chargebacks between you and your clients

8. Intellectual Property

• InvoiceChaser AI, including its code, design, workflows, and AI models, is our intellectual property
• You retain full ownership of your invoice data and client information
• By using the Service, you grant us a limited licence to process your data solely to provide the Service
• You may not copy, resell, white-label, or build competing products using our Service

9. Termination

9.1 Termination by you

You may close your account at any time. On account closure, we will delete your data within 30 days as described in our Privacy Policy.

9.2 Termination by us

We reserve the right to suspend or permanently terminate your account, with or without notice, if:

• You violate these Terms or our Acceptable Use policy
• You use the Service to send spam or harassing emails
• Your payment fails and is not resolved within 7 days
• We receive legitimate legal demands requiring us to do so
• We discontinue the Service

On termination for cause, no refund will be issued. On termination due to service discontinuation, we will provide at least 30 days notice and a pro-rated refund for unused prepaid time.

10. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, InvoiceChaser AI shall not be liable for:

• Loss of revenue, profits, or business opportunities
• Damage to client relationships caused by AI-generated emails
• Data loss due to third-party service failures (Google, Microsoft, PayPal, etc.)
• Any indirect, incidental, or consequential damages

Our total aggregate liability shall not exceed the amount you paid us in the 3 months prior to the claim.

11. Indemnification

You agree to indemnify and hold harmless InvoiceChaser AI and its operators from any claims, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any third party's rights.

12. Privacy

Our Privacy Policy, available at invoicechaser-ai.netlify.app/privacy.html, is incorporated into these Terms by reference.

13. Changes to Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved through binding arbitration or in the courts of Kerala, India, unless otherwise required by applicable consumer protection law in your jurisdiction.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and InvoiceChaser AI regarding the Service and supersede all prior agreements.
